We frequently serve as “outside” general counsel for our corporate clients. In this capacity we assist our clients to organize new business entities, negotiate and document contracts, create equity based compensation plans, find and monitor litigation counsel, as well as provide services related to venture capital and securities offerings, and mergers and acquisitions.
We also have substantial experience in commercial law and assist our clients to structure, negotiate, and implement secured and unsecured credit facilities, including revolving lines of credit, term loans, and bridge loans. We represent both lenders and borrowers in these transactions.
We have assisted clients to acquire defaulted debt instruments that are secured by first priority security interests in valuable technology assets and foreclose on those assets. In certain cases, this “non-judicial” approach can expedite and facilitate acquisitions of financially troubled companies without resorting to bankruptcy, achieving substantially the same result as a successful reorganization under Chapter 11 of the Bankruptcy Code, without the delay and significantly greater expense.
